The Board of Directors of a company provides leadership, strategic guidance and objective judgement, and is also accountable to the stakeholders of the company and the statutory authorities. The Board must strive to maximize wealth while adhering to good corporate governance principles and practices. The efficacy of the Board of Directors is not determined simply by gauging whether it fulfils its legal requirements but, more importantly, by its philosophy and the manner in which it translates the understanding of its responsibilities for the benefit of the stakeholders of the company.
