TAKE-OVERS and amalgamations, it is said, are as old as company law itself. Despite this, and despite the great increase in their number and importance since the last war, little has been written about the law applicable to the subject and even less about the practice. One who seeks information on the law has to piece it together from a few chapters of the standard company law, stamp duty and income tax textbooks, often not directed specifically to the problem. Isolated pieces of information about the practice may be gleaned from the financial Press but detailed knowledge is confined to members of professional firms and issuing houses specializing in the subject. This book is an attempt to bring together and systematize as much as possible of the law and practice in one volume, which also incorporates for ready reference extracts from the relevant Statues, Statutory Instruments and extra-legal requirements.
